Legal notice

1. Scope

These Terms and Conditions apply to all sales, deliveries, services, quotations, and agreements entered into between Maxigroup trading as Maxigastro ("Maxigastro") and business customers ("Customer").

Maxigastro exclusively supplies products and services to business customers (B2B). Consumer protection legislation and statutory consumer rights do not apply.

By placing an order, the Customer accepts these Terms and Conditions.

3. Orders and Order Confirmation

Orders may be placed through the Maxigastro webshop, by email, or through other approved sales channels.

An order becomes binding upon issuance of an order confirmation by Maxigastro.

Once an order has been confirmed, cancellation is only possible in accordance with Maxigastro's Return Policy or with written approval from Maxigastro.

Special-order products, custom-made products, and non-stock items cannot be cancelled after confirmation.

4. Payment

Payment is processed through secure encrypted payment systems.

Maxigastro does not store credit card details.

For products procured specifically for a customer, including special-order products and backordered items, Maxigastro reserves the right to process payment prior to shipment.

Ownership of all goods remains with Maxigastro until full payment has been received.

5. Product Availability

All products are offered subject to availability.

If a product becomes unavailable, Maxigastro reserves the right to offer an equivalent alternative product of similar specifications and value.

The Customer may accept or reject such an alternative proposal.

6. Product Information

Product descriptions, photographs, technical specifications, dimensions, capacities, weights, colours, and performance data are provided for guidance only.

Manufacturers may modify specifications without prior notice.

Minor deviations shall not constitute a defect.

7. Pricing

All prices are subject to typographical errors, pricing errors, supplier price increases, exchange rate fluctuations, tax changes, and force majeure events.

Maxigastro reserves the right to correct pricing errors before accepting an order.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Maxigastro shall not be liable for:

• Loss of profit;
• Loss of revenue;
• Loss of production;
• Loss of business opportunities;
• Loss of goodwill;
• Food spoilage;
• Business interruption;
• Indirect or consequential losses.

Maxigastro's total liability shall never exceed the invoiced value of the product giving rise to the claim.

9. Force Majeure

Maxigastro shall not be liable for delays or failure to perform obligations resulting from circumstances beyond its reasonable control, including but not limited to:

• Natural disasters;
• Fire;
• Flood;
• War;
• Terrorism;
• Government restrictions;
• Industrial disputes;
• Supplier delays;
• Transport disruptions;
• Shortages of raw materials or components;
• Pandemics or epidemics.

In such circumstances, delivery times and obligations shall be extended accordingly.

10. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by Danish law.

Any dispute arising out of or in connection with these Terms and Conditions shall be submitted to the competent courts of Denmark.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.
